1.2. Modifications to Terms: We reserve the right to update, change, or replace any part of these Terms and Conditions by posting updates and/or changes to our website. It is your responsibility to check this page periodically for changes. Your continued use of or access to the website or Services following the posting of any changes constitutes acceptance of those changes.

1.3. Purpose of Services: Our Services are offered for general information and for the sale of physical sportswear, and for providing a software solution for sports academies. They are not intended to replace professional advice or services.

2. E-commerce Terms: Physical Sportswear

2.1. Product Descriptions: We strive to ensure that all product descriptions, images, and pricing for sportswear are accurate. However, we do not warrant that product descriptions or other content of our website is accurate, complete, reliable, current, or error-free. If a product offered by Impetus Sports itself is not as described, your sole remedy is to return it in unused condition as per our Cancellation/Refund Policy.

2.2. Pricing and Payment: All prices are in INR and are subject to change without notice. We reserve the right to correct any errors, inaccuracies, or omissions and to change or update information or cancel orders if any information in the Service or on any related website is inaccurate at any time without prior notice (including after you have submitted your order). Payments are processed securely via third-party payment gateways.

2.3. Order Acceptance: Your receipt of an order confirmation does not signify our acceptance of your order, nor does it constitute confirmation of our offer to sell. We reserve the right at any time after receipt of your order to accept or decline your order for any reason.

2.4. Shipping and Delivery: Shipping of physical goods is subject to our Shipping Policy, which is incorporated into these Terms by reference. Risk of loss and title for items purchased from Impetus Sports pass to you upon our delivery to the carrier.

3. SaaS Terms: Academy Software

3.1. Software License: Subject to your compliance with these Terms and payment of applicable fees, Impetus Sports grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the academy software for your internal business purposes as an academy. This license is granted for the specific term (subscription) or duration (one-time payment) for which you have paid.

3.2. Subscription and Billing: * Subscription Plans: Access to certain features of the software is contingent upon selecting and maintaining an active subscription plan or a valid one-time payment license. * Billing: All billing terms are detailed in our Pricing Policy. By subscribing or making a one-time purchase, you authorize Impetus Sports to charge your selected payment method for all applicable fees. * Auto-Renewal: Subscription plans will automatically renew at the end of each billing cycle unless you cancel your subscription prior to the renewal date.

3.3. User Accounts and Security: * You are responsible for maintaining the confidentiality of your account login information (username and password) and for all activities that occur under your account. * You agree to notify Impetus Sports immediately of any unauthorized use of your account or any other breach of security. * We cannot and will not be liable for any loss or damage arising from your failure to comply with this security obligation.

3.4. Intellectual Property (SaaS): The academy software, including all its components, features, functionalities, design, code, graphics, and underlying technology, is the sole and exclusive property of Impetus Sports Private Limited or its licensors. Your license to use the software does not transfer any ownership rights. You are prohibited from: * Modifying, adapting, translating, reverse engineering, decompiling, disassembling, or otherwise attempting to discover the source code of the software. * Creating derivative works based on the software. * Renting, leasing, loaning, selling, sublicensing, assigning, distributing, or otherwise transferring the software. * Removing or altering any copyright, trademark, or other proprietary notices from the software.

3.5. Service Availability and Support: We endeavour to provide continuous and uninterrupted access to our SaaS services. However, we do not guarantee that the service will be uninterrupted, timely, secure, or error-free. We may perform scheduled or unscheduled maintenance. Support services, if applicable, are provided according to the terms of your specific subscription plan or a separate Service Level Agreement (SLA).

3.6. Data Ownership and Privacy: All data uploaded, stored, or processed by you using the academy software remains your property. Impetus Sports will process such data in accordance with our Privacy Policy. You grant Impetus Sports a limited, non-exclusive license to use your data solely for the purpose of providing and improving the SaaS service.

4. User Conduct and Prohibitions

4.1. Acceptable Use: You agree to use our Services only for lawful purposes and in a manner that does not infringe the rights of, restrict, or inhibit anyone else’s use and enjoyment of the Services.

4.2. Prohibited Activities: You agree not to: * Use the Services for any illegal or unauthorized purpose. * Transmit any worms or viruses or any code of a destructive nature. * Engage in any activity that interferes with or disrupts the integrity or performance of the Services. * Attempt to gain unauthorized access to our systems or networks. * Use the Services to harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate based on gender, sexual orientation, religion, ethnicity, race, age, national origin, or disability. * Submit false or misleading information. * Upload or transmit any content that is unlawful, harmful, threatening, abusive, defamatory, obscene, or otherwise objectionable.

Impetus Sports does not warrant that the Services will be uninterrupted, timely, secure, or error-free, or that defects will be corrected.

Limitation of Liability: * In no event shall Impetus Sports Private Limited, its directors, officers, employees, affiliates, agents, contractors, interns, suppliers, service providers, or licensors be liable for any injury, loss, claim, or any direct, indirect, incidental, punitive, special, or consequential damages of any kind, including, without limitation, lost profits, lost revenue, lost savings, loss of data, replacement costs, or any similar damages, whether based in contract, tort (including negligence), strict liability or otherwise, arising from your use of any of the service or any products procured using the service, or for any other claim related in any way to your use of the service or any product, including, but not limited to, any errors or omissions in any content, or any loss or damage of any kind incurred as a result of the use of the service or any content (or product) posted, transmitted, or otherwise made available via the service, even if advised of their possibility. * To the maximum extent permitted by applicable law, Impetus Sports’ total liability to you for any damages shall not exceed the amount paid by you for the specific product or service giving rise to the claim in the twelve (12) months preceding the claim.
